Terms of Use
IMPORTANT: These Terms are legally binding. Please read them carefully before using the Platform.
Key Disclosures
- HedgeCore is a technology platform. HedgeCore does not itself generate trading signals, select trades, place orders, manage portfolios, provide personalized investment advice, or act as a fiduciary for Users.
- The Platform currently connects only to Bybit. You must independently open and verify your own Bybit account, and remain eligible to use Bybit and the relevant Bybit products.
- Your Trading Assets remain at Bybit. HedgeCore does not accept, hold, safeguard, transfer, or withdraw those assets. The Platform accepts only a limited API Credential and rejects any credential with withdrawal, transfer, or other prohibited permissions.
- After permission validation, the API Credential is connected only to the Strategy you select. Trade instructions are generated solely by that Strategy. HedgeCore cannot independently use the credential to originate, select, modify, or cancel trades.
- Subscription Fees are paid directly to HedgeCore in supported cryptocurrency as payment for HedgeCore services. HedgeCore does not maintain a User deposit account, wallet balance, prepaid balance, or service-credit balance.
- Referral Commissions are separate contractual obligations of HedgeCore, calculated as a percentage of qualifying fees actually received by HedgeCore and paid from HedgeCore's own treasury. They are not User funds or an interest in a referred User's payment.
- Automated cryptocurrency trading, including leveraged or derivatives trading, is highly risky. A Strategy may lose some or all of the Trading Assets in your Connected Account.
1. Acceptance and Scope
These Terms of Use (the "Terms") form a legally binding agreement between you ("User", "you", or "your") and HedgeCore Inc. ("HedgeCore", "Company", "we", "us", or "our"), the operator of the HedgeCore website at HedgeCore.ai, the HedgeCore Telegram Mini App, and related software, interfaces, and services (collectively, the "Platform").
You accept these Terms by creating an Account, purchasing or renewing a Subscription, connecting a Bybit account, activating a Strategy, participating in the Referral Programme, or otherwise accessing or using the Platform. If you do not agree, do not use the Platform.
These Terms incorporate the Privacy Policy, Cookie and Similar Technologies Policy, and any additional product-specific terms presented to you before activation. If there is a direct conflict, product-specific terms control for the relevant feature, followed by these Terms, unless mandatory law requires otherwise.
Nothing in these Terms limits rights that cannot lawfully be waived under applicable consumer protection or other mandatory law.
2. Definitions
"Account" means your HedgeCore user account.
"API Credential" means the limited API key and associated secret created by you for your Connected Account and submitted for connection to a selected Strategy.
"Bybit" means the third-party virtual asset trading platform currently supported by HedgeCore.
"Connected Account" means the Bybit account independently created, controlled, and funded by you and connected to a Strategy through the Platform.
"Execution Environment" means the isolated technical environment through which the selected Strategy uses the validated API Credential to send automated trading instructions to Bybit.
"Net Subscription Revenue" means qualifying Subscription Fees actually and finally received and retained by HedgeCore, after the exclusions stated in Section 9.
"Platform Content" means software, interfaces, text, data, metrics, charts, documentation, trademarks, and other materials made available through the Platform.
"Prohibited Permissions" means any API permission that permits withdrawal, asset transfer, Bybit Pay, fiat or P2P activity, conversion, Earn activity, account security changes, API-key administration, or any other actions that are not strictly necessary for connecting and using the selected Strategy.
"Referral Commission" means an amount that may become payable by HedgeCore to an eligible participant under Section 9.
"Referred User" means a new eligible User who registers through a valid referral attribution and satisfies the Referral Programme Rules.
"Strategy" means an automated trading strategy created by a Strategy Provider and made available through the Platform.
"Strategy Provider" means an independent third-party developer or operator of a Strategy.
"Subscription" means paid access to the Platform features included in the plan selected by you.
"Subscription Fee" means the amount payable to HedgeCore for a Subscription.
"Trading Assets" means all fiat currency, virtual currency, tokens, positions, collateral, and other assets held in or associated with your Bybit account or Connected Account.
3. Nature of the Platform and Allocation of Roles
3.1 Technology Platform
HedgeCore provides technology that allows Users to review listed Strategies, select a Strategy, validate a limited API Credential, establish or terminate a Strategy connection, and view technical and performance information. A Subscription is a fee for access to HedgeCore services and Platform functionality. It is not an investment, deposit, brokerage account, managed account, interest in a fund, or purchase of any virtual asset.
3.2 HedgeCore Does Not Trade for You
HedgeCore does not generate the trading logic or trade signals of a Strategy, choose which assets or instruments a Strategy will trade, decide when a trade should be opened or closed, place discretionary orders, tailor trading decisions to your circumstances, or override a Strategy's instructions. HedgeCore does not provide portfolio management, discretionary account management, brokerage, execution, exchange, custody, or personalized investment advisory services to Users.
The Platform may perform technical routing, validation, availability monitoring, connection management, and disconnection functions. Those technology functions do not make HedgeCore the source of a Strategy's trading decisions.
3.3 No Custody or Transmission of Trading Assets
Your Trading Assets remain in your Bybit account or Connected Account at all times. HedgeCore does not accept, hold, safeguard, possess, pool, lend, stake, invest, transfer, or withdraw Trading Assets for or on behalf of any User. HedgeCore has no withdrawal or asset-transfer permission for your Bybit account and does not accept Trading Assets for transmission to a Strategy Provider, another User, or any other person.
Subscription payments received by HedgeCore become HedgeCore's property as payment for HedgeCore's own services. They are separate from your Trading Assets. Any amounts HedgeCore pays to Strategy Providers or referral participants are paid by HedgeCore from its own funds under separate contractual arrangements.
3.4 Independent Strategy Providers
Strategy Providers are independent third parties and are not employees, agents, partners, fiduciaries, or representatives of HedgeCore. Unless the Platform expressly states otherwise, your agreement to access the Platform is with HedgeCore, while each Strategy remains created and controlled by its Strategy Provider. A Strategy Provider is solely responsible for the design, trading logic, operation, claims, and legal compliance of its Strategy.
HedgeCore may compensate Strategy Providers from HedgeCore's own revenue. No part of your Subscription Fee is accepted for transmission to a Strategy Provider on your behalf, and you do not acquire any ownership or creditor interest in any amount HedgeCore may owe a Strategy Provider.
3.5 Bybit Is a Third Party
Bybit is not owned, operated, controlled, endorsed, or guaranteed by HedgeCore. HedgeCore is not responsible for Bybit's custody of assets, account administration, market operations, outages, liquidations, fees, security, solvency, regulatory status, or acts or omissions. Your use of Bybit is governed by your separate agreement with Bybit.
4. Eligibility, Geography, and Account Requirements
4.1 General Eligibility
To use the Platform, you must:
- be at least 18 years old and at least the age of legal majority in your jurisdiction;
- have full legal capacity and authority to enter into these Terms;
- use the Platform only for your own account, or, for an entity Account, be duly authorized to act for that entity;
- not be subject to sanctions, asset-freeze measures, or other legal restrictions applicable to HedgeCore, Bybit, or the relevant transaction;
- not use the Platform from a jurisdiction in which your use of Bybit, the relevant Bybit product, automated trading, cryptocurrency trading, or the Platform is prohibited or restricted; and
- provide complete, current, and accurate information and promptly update it.
4.2 Bybit Eligibility and Excluded Jurisdictions
Because the Platform currently depends exclusively on Bybit, you may use the Platform only while Bybit lawfully offers the relevant account and trading products to you. You must not use the Platform if you are located, resident, incorporated, or otherwise based in a jurisdiction excluded by Bybit or HedgeCore.
Bybit may change its restrictions at any time. You are responsible for checking and complying with the current Bybit eligibility rules. HedgeCore may block or terminate access based on location, KYC region, IP information, or other eligibility indicators.
4.3 Verified Bybit Account
You must maintain a valid Bybit account that has completed the identity-verification level required by Bybit for the products you use. Bybit verification is performed for Bybit's own purposes and does not constitute identity verification by HedgeCore. HedgeCore may verify available information such as your Bybit UID, account type, KYC status, KYC region, and API permission scope.
HedgeCore does not routinely collect identity documents from every User. However, HedgeCore may request identity, residence, wallet-ownership, source-of-funds, tax, or other compliance information where required by law or reasonably necessary to address sanctions, fraud, security, payment, referral, or other documented risk concerns. Failure to provide reasonably requested information may result in refusal, suspension, non-payment, or termination, subject to applicable law.
4.4 Account Ownership and Security
Your HedgeCore Account, Bybit account, Connected Account, funding wallet, payment wallet, and referral payout wallet must be owned or lawfully controlled by you. You must not connect or fund an account belonging to another person, pool third-party assets, or use the Platform to manage assets for clients unless HedgeCore has expressly approved the arrangement in writing and all legal requirements are satisfied.
You are responsible for protecting your Telegram account, email, devices, authentication methods, Bybit credentials, and API Credentials. Notify HedgeCore promptly if you suspect unauthorized access. HedgeCore will not be liable for activity caused by your failure to maintain appropriate security, except to the extent liability cannot lawfully be excluded.
5. Bybit Account Requirements
5.1 User-Created and User-Funded Account
You must independently create the Connected Account within your own Bybit account and independently transfer to it only the amount of Trading Assets you are prepared to expose to the selected Strategy.
You remain solely responsible for account configuration, collateral, leverage, margin mode, liquidation settings, risk limits, position limits, stop-loss settings, taxes, and all other Bybit settings that are not controlled by the selected Strategy.
5.2 Ownership and Control
You retain your contractual relationship with Bybit and your ability to access the Connected Account directly through Bybit. You may withdraw or transfer Trading Assets using your own Bybit credentials, subject to Bybit's rules. Neither HedgeCore nor the selected Strategy receives withdrawal or transfer authority through the API Credential.
6. API Credential and Strategy Connection
6.1 Trading-Only Credential
You must create the API Credential for the Connected Account, not for a main account holding assets unrelated to the selected Strategy. The API Credential may include only the trading permissions strictly necessary for the selected Strategy, such as applicable permissions to submit and manage orders, view positions, and trade the specific spot, contract, derivatives, or options products disclosed for that Strategy.
The API Credential must not include any Prohibited Permission. Without limitation, all wallet, withdrawal, Earn, conversion, fiat, P2P, payment, account-security, and API-administration permissions are prohibited.
6.2 Permission-Scope Validation
Before a Strategy connection is activated, HedgeCore uses the API Credential to query Bybit for credential status, account relationship, KYC indicators, IP restrictions, expiry information, and permission scope. HedgeCore will reject the credential if it is invalid, expired, associated with an ineligible account or region, not limited to the intended Connected Account, or contains any Prohibited Permission or unnecessary permission.
A rejected credential is not connected to a Strategy. You must revoke it through Bybit and submit a new compliant credential. HedgeCore is not required to modify a credential on your behalf and does not accept responsibility for any credential you fail to revoke.
6.3 HedgeCore's Limited Technical Role
HedgeCore's role is limited to validating the permission scope, establishing a secure technical connection between the Connected Account and the Strategy selected by you, monitoring connection status, and enabling disconnection. HedgeCore does not select or create trading instructions.
Following validation, the API Credential is programmatically bound to the Execution Environment for the selected Strategy. HedgeCore's general application layer and personnel do not have a discretionary order-entry interface or operational authority to use the API Credential independently of that Strategy. Accordingly, HedgeCore cannot independently originate, select, modify, or cancel trades using the API Credential. All trading instructions are generated solely by the selected Strategy.
6.4 Access by the Selected Strategy
The validated API Credential is made available only to the Execution Environment for the Strategy you selected and only for the Connected Account. It is not made available to other Strategy Providers or used to connect another Strategy without your separate activation. The selected Strategy may use the permitted trading functions automatically and may place, modify, or cancel orders within the scope of the API Credential.
HedgeCore may host or facilitate technical components of the Execution Environment, but such hosting or facilitation does not give HedgeCore discretion over the Strategy's trading logic or make HedgeCore the author of any trade instruction.
6.5 IP Restrictions and Security
Where supported, you should bind the API Credential to the IP addresses specified by the Platform and enable all security controls recommended by Bybit and HedgeCore. HedgeCore may refuse a credential that lacks required IP restrictions or other security settings. No security measure eliminates all risk.
6.6 Deactivation, Revocation, and Open Positions
You may request deactivation of a Strategy connection through the Platform at any time. Deactivation is intended to stop new Strategy instructions, but it may be delayed by network, Bybit API, software, or infrastructure conditions. You should also revoke the API Credential directly through Bybit whenever you wish to ensure that no further instructions can be sent.
Deactivation, cancellation of a Subscription, expiration of a Subscription, suspension, termination, or revocation of the API Credential does not necessarily cancel open orders, close positions, repay borrowings, prevent liquidation, or restore prior account settings. You are solely responsible for reviewing and managing all open orders and positions directly through Bybit.
7. Strategies, Testing, and User Selection
7.1 Listing and Testing
Before listing a Strategy, HedgeCore performs a pre-listing review and testing process selected by HedgeCore, which may include technical integration testing, code or security review, backtesting, forward testing, paper trading, historical analysis, parameter review, operational review, or other screening. HedgeCore may repeat testing or monitoring after listing and may suspend or remove a Strategy at any time.
Testing is limited by the data, methodology, assumptions, market conditions, latency, liquidity, fees, slippage, model design, and information available at the time. Testing may use simulated or hypothetical results. It cannot identify every defect or predict future performance and is not a certification, guarantee, recommendation, or determination that a Strategy is suitable for you.
7.2 Strategy Information and Metrics
The Platform may display descriptions, rankings, risk labels, backtests, live or historical results, win rates, drawdowns, profit and loss information, and other metrics. Information may be supplied by a Strategy Provider, calculated from available data, or affected by delays, errors, different account configurations, fees, leverage, slippage, and market conditions. Results shown for one account or period may not be replicated in your account.
7.3 Independent Selection
You independently decide whether to activate, continue, pause, or stop a Strategy. HedgeCore does not assess your financial circumstances, objectives, experience, tax position, risk tolerance, or suitability. Platform rankings, labels, tests, descriptions, and availability are informational and do not constitute a recommendation or endorsement.
7.4 Strategy Changes and Removal
A Strategy Provider may update or discontinue a Strategy, and HedgeCore may change listing criteria, impose limits, suspend a connection, or remove a Strategy for technical, security, performance, compliance, commercial, or legal reasons. Where reasonably practicable, HedgeCore will notify affected Users, but urgent action may be taken without advance notice. You remain responsible for managing open positions and revoking the API Credential.
8. Subscriptions, Fees, and Cryptocurrency Payments
8.1 Subscription Access
An active Subscription grants access to the Platform features, Strategy catalogue, connection capacity, analytics, and other functionality included in the plan shown to you before purchase. Plan limits, available Strategies, simultaneous connection limits, and features may differ. A Subscription does not guarantee that any particular Strategy will remain available.
8.2 Pricing and Billing Period
The current Subscription Fee, billing period, included features, and any applicable taxes or charges are displayed before you confirm payment. Unless a different period is shown at checkout, a Subscription is prepaid for one month. HedgeCore may offer different plans, trials, or promotions subject to the terms presented with the offer.
8.3 Direct Cryptocurrency Payment to HedgeCore
Subscription Fees are currently payable only in the supported cryptocurrencies and on the supported blockchain networks displayed at checkout. Each payment is made directly to HedgeCore, or to a payment processor acting for HedgeCore, as final payment for HedgeCore's own services. HedgeCore receives the payment as principal and not as custodian, escrow agent, trustee, or money transmitter for a Strategy Provider or any other person.
HedgeCore does not maintain a User deposit account, custodial wallet, internal balance, prepaid balance, or service-credit balance. Do not send Trading Assets, excess amounts, unsupported assets, or funds on an unsupported network to a subscription payment address. Blockchain transfers may be irreversible, and HedgeCore may be unable to recover an incorrect payment.
A payment is complete only after the required network confirmations and successful matching to your Account. You are responsible for network fees and for paying the exact amount within any quoted time window. Exchange-rate changes, underpayments, overpayments, delayed confirmations, or incorrect payment details may delay or prevent activation.
8.4 Renewal
A Subscription renews only as disclosed at checkout. If recurring billing is not offered or not separately enabled by you, renewal requires a new completed cryptocurrency payment for each billing period. If recurring billing is offered and you expressly enable it, you authorize HedgeCore or its payment processor to initiate the disclosed renewal payment at the beginning of each renewal period. HedgeCore does not renew a Subscription by debiting an internal User balance.
Before you enable recurring billing, the Platform will disclose the amount or calculation method, billing frequency, start date, renewal terms, and cancellation method. If a renewal payment is not completed, the Subscription may expire and active Strategy connections may be disabled.
8.5 Cancellation
You may cancel a Subscription at any time through the online cancellation control in your Account. Cancellation becomes effective upon confirmation for purposes of preventing future renewals. Your access to paid Platform features and any active Strategy connections will continue until the end of your current paid subscription period, after which they will terminate automatically unless you purchase a new subscription. No further renewal charge will be initiated after confirmation of cancellation.
Before final confirmation, the Platform will clearly disclose that cancellation stops future automatic renewals but does not end your current subscription before the expiration of the paid period, and that you will continue to have access to the subscribed features until that time. Cancellation does not itself close open orders or positions, prevent liquidation, or revoke the API Credential at Bybit. You must manage positions and revoke the credential directly through Bybit.
8.6 Refunds
Except where required by mandatory law, Subscription Fees are non-refundable once Platform access for the relevant paid period begins. HedgeCore does not provide prorated refunds or credits for unused time, deactivated Strategies, market losses, Strategy removal, Bybit downtime, or a User's failure to use the Platform. HedgeCore may, in its discretion, correct or refund a duplicate payment, a payment not matched to an Account, or a payment resulting from a confirmed HedgeCore billing error.
Where applicable law gives you a cooling-off or withdrawal right for digital services, the checkout process may ask you to expressly request immediate performance and acknowledge the legal consequences of beginning service immediately. Nothing in these Terms limits a non-waivable statutory right.
8.7 Fee Changes
HedgeCore may change Subscription Fees or plan features prospectively. For an enabled recurring Subscription, HedgeCore will provide at least 30 days' notice before a price increase takes effect, unless a shorter period is required or permitted by applicable law. A changed price will not be charged without any consent required by law. You may cancel before the change becomes effective.
8.8 Taxes
Subscription Fees are exclusive of taxes unless expressly stated otherwise. You are responsible for taxes, duties, reporting, and other governmental charges arising from your use of the Platform, trading activity, or Referral Commissions, except taxes imposed on HedgeCore's net income.
9. Referral Programme
9.1 Separate Programme
HedgeCore may operate a two-level referral programme under which an eligible User may receive a Referral Commission for (i) directly referring a new User ("Level 1 Referred User") and (ii) qualifying purchases made by a new User directly referred by that Level 1 Referred User ("Level 2 Referred User"). Participation is optional and subject to this Section, the Referral Programme Rules, and applicable law. No Referral Commission is payable for referrals beyond Level 2. Referral activity does not give you authority to bind, represent, or act for HedgeCore.
9.2 Eligible Referred Users
Each Level 1 Referred User and Level 2 Referred User must be a genuinely new User, register through a valid referral attribution, satisfy all eligibility requirements, maintain a separate Account and Bybit account, and make a qualifying Subscription payment. A User may qualify as a Level 2 Referred User only if the corresponding Level 1 Referred User was validly attributed under the Referral Programme.
9.3 Commission Formula
The Referral Commission is calculated by applying the applicable percentage displayed on the Platform for the relevant referral level to the Net Subscription Revenue actually and ultimately received and retained by HedgeCore for the HedgeCore services purchased by the applicable Level 1 Referred User or Level 2 Referred User.
Net Subscription Revenue excludes, as applicable, taxes, network or payment-processing costs borne by HedgeCore, free trials, promotional access, discounts, duplicate or erroneous payments, refunds, reversed or disputed payments, fraudulent transactions, sanctions-blocked amounts, and payments made outside the applicable referral attribution period.
9.4 Nature of the Referral Commission
A valid Referral Commission is a separate contractual payment obligation of HedgeCore. HedgeCore incurs and pays that obligation in its own name, for its own account, and from its own treasury. A referral participant has no ownership, custody, trust, lien, or other property interest in a Referred User's Subscription payment or in any particular cryptocurrency held by HedgeCore.
Any estimated, pending, accrued, approved, or payable amount displayed in the referral dashboard is an accounting record of a potential or confirmed contractual receivable. It is not a deposit, wallet, custodial account, stored-value account, internal balance, transferable asset, or payment instrument. Referral Commissions cannot be transferred between Users or used to transmit value to a third party.
9.5 Validation and Payout
A Referral Commission becomes payable only after the applicable validation or holding period, minimum payout threshold, and other conditions displayed in the Referral Programme Rules are satisfied. HedgeCore may verify referral attribution, referral level, payment finality, Account relationships, wallet ownership, sanctions status, fraud indicators, and compliance with these Terms before approving a payout.
Approved Referral Commissions are paid directly from HedgeCore's own treasury to an external cryptocurrency wallet owned or lawfully controlled by the referral participant, using a supported asset and network. HedgeCore does not maintain a withdrawable referral balance. You must provide accurate payout details and may be responsible for network fees. HedgeCore is not responsible for loss caused by an incorrect wallet address or network selected by you.
9.6 Prohibited Referral Conduct
You must not:
- refer yourself, create or control multiple Accounts, use nominees, or create circular or coordinated referral chains;
- use bots, fake identities, purchased accounts, fabricated traffic, or other artificial methods to generate referrals;
- target persons in excluded jurisdictions or encourage anyone to evade Bybit, sanctions, KYC, geographic, or legal restrictions;
- make false, misleading, unsubstantiated, or guaranteed claims about HedgeCore, a Strategy, trading returns, risk, regulatory status, or referral income;
- present yourself as HedgeCore, a licensed financial professional, or an authorized HedgeCore representative;
- send unlawful spam, use deceptive advertising, infringe intellectual property, or violate platform, advertising, privacy, or consumer-protection rules; or
- offer rebates, pass-through commissions, payments, or other incentives unless expressly permitted by the Referral Programme Rules.
9.7 Adjustments, Withholding, and Termination
HedgeCore may reject, reverse, withhold, offset, or cancel a Referral Commission to the extent it results from fraud, abuse, duplicate attribution, an ineligible User, a refunded or invalid Subscription payment, a sanctions concern, a material breach, or an error. HedgeCore may suspend or terminate participation in the Referral Programme at any time. Valid commissions already approved before termination remain payable unless lawfully withheld or affected by a breach.
9.8 Changes to the Programme
HedgeCore may change commission rates, including different rates for Level 1 and Level 2 referrals, attribution rules, validation periods, payout thresholds, supported assets, or other programme terms prospectively. Material adverse changes will be notified through the Platform or by email with reasonable advance notice. A change does not reduce a valid commission already finally approved under the rules in effect when it was earned.
9.9 Taxes and Legal Compliance
You are solely responsible for determining and satisfying any tax, registration, disclosure, advertising, or other legal obligations arising from Referral Commissions or referral activity. HedgeCore may request tax forms or other information and may withhold amounts where required by law.
10. User Obligations and Prohibited Use
You must use the Platform lawfully, in good faith, and only for its intended purpose. You must not, directly or indirectly:
- violate these Terms, applicable law, sanctions, market-abuse rules, or Bybit terms and product restrictions;
- use the Platform for money laundering, terrorist financing, fraud, theft, evasion, market manipulation, wash trading, spoofing, pump-and-dump activity, insider trading, or other unlawful conduct;
- connect an API Credential with any Prohibited Permission or attempt to bypass permission validation, geofencing, security controls, rate limits, or eligibility checks;
- use another person's Account, Bybit account, wallet, API Credential, identity, or payment method without lawful authority;
- pool, accept, manage, or trade third-party assets through the Platform, or provide the Platform as a service to clients, without HedgeCore's prior written approval;
- interfere with or damage the Platform, introduce malware, probe vulnerabilities, scrape non-public data, reverse engineer protected components, or access systems without authorization;
- copy, resell, sublicense, disclose, reproduce, or commercially exploit a Strategy, Platform Content, confidential information, or proprietary signal;
- misrepresent Strategy results, remove risk disclosures, or use HedgeCore branding in a misleading or unauthorized manner; or
- assist another person to do any of the foregoing.
You must monitor your Connected Account, open orders, positions, margin, liquidation risk, Strategy activity, notifications, and API Credential status. HedgeCore has no duty to monitor your account in real time or intervene in trading.
11. Trading and Technology Risks
By activating a Strategy, you acknowledge and accept all risks associated with cryptocurrency markets, automated trading, and the relevant Bybit products, including the following:
- Market and total-loss risk: Digital assets are highly volatile. You may lose some or all Trading Assets allocated to a Connected Account.
- Leverage and liquidation risk: Derivatives, perpetuals, options, margin, and leveraged products may produce losses exceeding initial margin and may be liquidated rapidly.
- Algorithmic risk: A Strategy may contain errors, react unexpectedly, overtrade, fail to trade, use unsuitable assumptions, or perform differently from historical or simulated results.
- Execution risk: Orders may be delayed, rejected, partially filled, filled at different prices, or affected by slippage, spread, liquidity, funding rates, and market disruption.
- API and technology risk: API outages, latency, expired credentials, network failures, software defects, cybersecurity incidents, and incompatible updates may cause missed, duplicate, or unintended actions.
- Open-position risk: Stopping a Strategy or Subscription may not close positions or cancel orders. Market exposure can continue until you act through Bybit.
- Exchange and counterparty risk: Bybit may suspend accounts, change rules, suffer outages or security incidents, restrict withdrawals, liquidate positions, or become insolvent.
- Strategy Provider risk: A Strategy Provider may make errors, discontinue support, change logic, breach obligations, or fail to comply with law.
- Data and backtesting risk: Metrics may be incomplete, delayed, simulated, hypothetical, selected, or affected by survivorship bias, overfitting, and different market conditions.
- Regulatory and tax risk: Law, product availability, sanctions, licensing, reporting, or tax treatment may change and may affect access or outcomes.
- Cybersecurity risk: Credentials, devices, accounts, exchanges, providers, and infrastructure may be compromised despite security controls.
- Cost risk: Subscription Fees, exchange fees, network fees, spreads, slippage, funding, and taxes may materially reduce or eliminate returns.
You should allocate only assets you can afford to lose, independently assess each Strategy and product, and obtain professional legal, tax, and financial advice where appropriate.
12. No Advice, Fiduciary Duty, or Performance Guarantee
12.1 No Investment Advice
Nothing provided by HedgeCore, including Platform Content, Strategy descriptions, tests, rankings, analytics, notifications, educational content, or support communications, constitutes investment, financial, legal, tax, or accounting advice or a recommendation to buy, sell, hold, or trade any asset or instrument.
12.2 No Fiduciary or Agency Relationship
You do not appoint HedgeCore, and HedgeCore does not undertake to act, as your fiduciary, trustee, broker, dealer, exchange, custodian, investment manager, portfolio manager, commodity trading advisor, financial adviser, agent, or representative. No course of dealing, communication, feature, test, or Platform display creates such a relationship.
12.3 No Guarantee
HedgeCore does not guarantee profitability, capital preservation, uptime, execution, liquidity, availability of a Strategy, accuracy of metrics, regulatory status of a Strategy Provider, or any specific result. Past, simulated, backtested, or hypothetical performance is not indicative of future results. No person is authorized to provide a guarantee on HedgeCore's behalf.
13. Third-Party Services, Links, and Integrations
The Platform may depend on Bybit, Telegram, blockchain networks, wallet software, cloud infrastructure, analytics tools, payment processors, and other third parties. Third-party terms, privacy notices, fees, restrictions, and risks apply separately. HedgeCore does not control or warrant third-party services and may change or discontinue an integration at any time.
A link, integration, listing, or technical compatibility does not constitute endorsement. HedgeCore is not liable for third-party content, outages, security, actions, omissions, insolvency, regulatory restrictions, or loss of access, except to the extent liability cannot lawfully be excluded.
14. Privacy, API Credentials, and Security
HedgeCore processes personal data and technical information as described in the Privacy Policy. By using the Platform, you authorize HedgeCore to process information reasonably necessary to verify eligibility, validate API permissions, provide connections, process Subscription payments, administer Referral Commissions, secure the Platform, prevent fraud, and comply with law.
The API Credential is sensitive. HedgeCore applies technical and organizational safeguards designed for its role, but no system is completely secure. You remain responsible for limiting permissions, enabling IP restrictions where supported, monitoring the credential, and revoking it through Bybit when it is no longer required or if compromise is suspected.
HedgeCore may retain technical, connection, payment, referral, security, and compliance records for the periods described in the Privacy Policy or required by law. Deletion of an API Credential from HedgeCore systems does not revoke it at Bybit; you must revoke it directly through Bybit.
15. Intellectual Property and Platform Licence
15.1 Ownership
HedgeCore and its licensors own all rights in the Platform and HedgeCore Platform Content, including software, interfaces, design, databases, documentation, trademarks, and compilations. Strategy Providers or their licensors own their Strategies and provider content. Except for the limited licence below, no rights are transferred to you.
15.2 Limited Licence
Subject to these Terms and an active Subscription where required, HedgeCore grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for your own lawful purposes. You may not reproduce, modify, distribute, publicly display, sell, lease, sublicense, reverse engineer, or create derivative works except as expressly permitted by law and not validly restricted by contract.
15.3 Feedback
If you submit feedback, suggestions, or ideas, you grant HedgeCore a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation, provided that HedgeCore does not publicly identify you without permission.
16. Suspension, Termination, and Service Changes
16.1 Suspension or Termination by HedgeCore
HedgeCore may reject, restrict, suspend, or terminate an Account, Subscription, Strategy connection, payment, Referral Commission, or other feature, with or without advance notice where reasonably appropriate, if:
- you breach these Terms, Bybit rules, or applicable law;
- your Bybit account, KYC status, region, API Credential, payment, or payout wallet is invalid, restricted, compromised, or ineligible;
- HedgeCore identifies sanctions, fraud, security, market-abuse, payment, referral-abuse, or other material risk;
- a Strategy or Strategy Provider is removed, unavailable, non-compliant, insecure, or technically incompatible;
- a Subscription payment is not completed;
- continued service may expose HedgeCore, a User, or a third party to loss, liability, or regulatory concern; or
- HedgeCore is required or requested to act by law, court, regulator, exchange, service provider, or competent authority.
16.2 Termination by You
You may stop using the Platform, deactivate Strategies, cancel your Subscription, and close your Account through the available controls. Closing an Account does not automatically close Bybit positions or revoke API Credentials. You must take those actions directly through Bybit.
16.3 Effects of Termination
Upon termination, your licence and access rights end, and HedgeCore may disconnect Strategies and delete or restrict data in accordance with the Privacy Policy. Subscription Fees remain non-refundable except where mandatory law requires otherwise. Valid Referral Commissions finally approved before termination remain payable unless lawfully withheld, reversed, or forfeited because of fraud, sanctions, or breach.
Sections that by their nature should survive termination will survive, including provisions concerning payments, risks, intellectual property, disclaimers, liability, indemnification, disputes, and miscellaneous terms.
17. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, STRATEGIES, PLATFORM CONTENT, CONNECTIONS, METRICS, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HEDGECORE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, AND RESULTS.
HedgeCore does not warrant that the Platform or a Strategy will be uninterrupted, error-free, secure, compatible, profitable, or available in every jurisdiction; that defects will be corrected; or that information will be complete, current, or accurate. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
18. Limitation of Liability
18.1 Excluded Losses
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEDGECORE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY; OR ANY TRADING LOSS, LIQUIDATION, DIMINUTION IN ASSET VALUE, MISSED TRADE, OPEN POSITION, OR LOSS CAUSED BY A STRATEGY PROVIDER, BYBIT, A BLOCKCHAIN NETWORK, OR ANOTHER THIRD PARTY, EVEN IF ADVISED OF THE POSSIBILITY.
18.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEDGECORE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE SUBSCRIPTION FEES YOU PAID TO HEDGECORE DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.
18.3 Non-Excludable Liability
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where it cannot be limited, or any other liability or consumer remedy that cannot lawfully be excluded or limited. Each limitation applies to the maximum extent permitted in your jurisdiction.
19. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless HedgeCore and its directors, officers, employees, contractors, affiliates, and licensors from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal costs arising from your unlawful use of the Platform, breach of these Terms, infringement of third-party rights, referral activity, or misuse of another person's account, assets, data, or credentials. This obligation does not apply to the extent a claim is caused by HedgeCore's own fraud, willful misconduct, or non-excludable negligence.
20. Governing Law, Courts, and Jury-Trial Waiver
20.1 Governing Law
Except to the extent mandatory law provides otherwise, these Terms and any dispute, claim, or controversy arising out of or relating to them, the Platform, a Subscription, or the Referral Programme are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
20.2 Exclusive Forum
Except for an eligible small-claims matter or a non-waivable right to bring a claim elsewhere, each party agrees that any action or proceeding will be brought exclusively in the state courts located in New Castle County, Delaware, or, if federal jurisdiction exists, the United States District Court for the District of Delaware. Each party submits to the personal jurisdiction of those courts and waives objections based on venue or inconvenient forum.
20.3 Jury-Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN AN ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
20.4 Mandatory Consumer Rights
If you are a consumer and mandatory law in your place of residence gives you protections or access to courts that cannot be waived, this Section applies only to the extent permitted by that law.
21. Changes to the Platform and These Terms
HedgeCore may update the Platform, supported Strategies, Bybit integration, features, eligibility rules, and these Terms. Material changes to these Terms will be communicated through the Platform, email, or another reasonable method at least 14 days before they take effect, unless earlier action is required for security, legal, regulatory, fraud-prevention, or technical reasons.
Changes to Subscription pricing are governed by Section 8.7. Changes to the Referral Programme are governed by Section 9.8. If you do not agree to revised Terms, you must stop using the Platform and cancel any Subscription before the revised Terms take effect. Continued use after the effective date constitutes acceptance where permitted by law.
22. Electronic Communications and Notices
You consent to receive agreements, disclosures, notices, receipts, and other communications electronically through the Platform, email, Telegram, or another contact method associated with your Account. Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.
You must maintain accurate contact information and review Platform notices. A notice is deemed received when made available in the Platform, sent to your registered email or Telegram account, or otherwise delivered using the contact information you provided.
23. Miscellaneous
23.1 Entire Agreement
These Terms and the incorporated policies constitute the entire agreement between you and HedgeCore concerning the Platform and supersede prior or contemporaneous agreements, representations, and understandings on that subject.
23.2 Assignment
You may not assign or transfer these Terms, an Account, a Subscription, or a Referral Commission without HedgeCore's prior written consent. HedgeCore may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Platform, subject to applicable law.
23.3 Severability and Waiver
If a provision is held invalid or unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
23.4 No Third-Party Beneficiaries
Except for persons expressly protected by Sections 18 and 19, these Terms do not create rights for any third party. Strategy Providers and Bybit are not parties to these Terms merely because they are referenced or integrated.
23.5 Force Majeure
HedgeCore is not liable for delay or failure caused by events beyond its reasonable control, including market disruption, exchange or API failure, blockchain congestion, internet outage, cyberattack, natural disaster, war, civil disorder, labor dispute, governmental action, sanctions, or change in law, except to the extent liability cannot lawfully be excluded.
23.6 Relationship of the Parties
You and HedgeCore are independent contracting parties. These Terms do not create a partnership, joint venture, employment, agency, trust, fiduciary, franchise, or similar relationship.
23.7 Language and Headings
The controlling language of these Terms is English. Any translation is provided for convenience only. Headings are for reference and do not affect interpretation.
